A partner in the Baltimore office of Saul Ewing LLP, Mr. Paul counsels businesses, healthcare concerns and professionals with respect to general corporate matters, acquisitions and sales, stockholder disputes and financings.
In connection with his work for healthcare concerns and professionals, Mr. Paul handles practice organizations, general corporate matters, fiduciary duty issues, structuring issues, intra-company disputes, sales and acquisitions of practices, joint venture agreements, and other strategic alliances. His clients range from sole practitioners to large-scale health care providers.
Other types of enterprises Mr. Paul represents include technology companies, distributors, service providers, and manufacturers of various sizes, for which he handles business organizations, structuring issues, general corporate matters, fiduciary duty issues, financings, acquisitions, and sales.
A co-author of the Maryland Limited Liability Company Act, he served on the American Bar Association committee that drafted the ABA’s Prototype Limited Liability Company Act and currently participates in the ABA's revision of that Act. Mr. Paul lectures both locally and nationally regarding limited liability companies and other legal matters. He has co-authored numerous articles on limited liability companies and other legal matters, as well as a widely-used book on limited liability companies.
