Franchise Law (2)
The focus of this course is to provide not only the basics of franchise law through traditional teaching methods, but also to involve students in the preparation and negotiation of different franchise documents and scenarios that regularly arise in the franchise relationship.
The course will include the following topics:
- What business relationships qualify as a franchise or business opportunity
- FTC disclosure requirements
- State franchise registration requirements (focus on Maryland which has one of the most rigorous registration process in the country)
- The Uniform Offering Circular, its elements and how they are satisfied
- Special Issues involving multi-unit franchisees and area developers
- Franchise transaction documents, including franchise agreements, area development agreements and cooperative advertising agreements
- The concept of good faith and fair dealing and its special application to franchise law
- Encroachment and unfair competition issues
- Termination of the franchise relationship
- The effect of the Internet on franchise relationships
- Bankruptcy and creditors rights issues in the franchise relationship
The topic list is not intended to be exhaustive, but presents a good overview of the basic issues that confront an attorney representing parties in the franchise relationship. Some class sessions will have guest lecturers who have special expertise in some of the areas involving litigation issues. Coupled with the planned workshops, this plan should provide an exciting opportunity for a hands-on approach to the area.
