Business Associations II (BAII) is essentially the second half of the standard Business Associations course offered in the day division. This course will focus on formation, governance, finance, fiduciary duties, merger, and dissolution in the business corporation. The course will also address the peculiar issues facing closely held corporations and publicly held corporations. As to publicly held corporations, BAII will provide an introduction to shareholder litigation, federal securities regulation and the regulation of mergers and acquisitions. The class will also include some consideration of tax issues related to business corporations, but Income Tax is not a prerequisite. BAII is not open to students who have completed the three- or four-credit Business Associations course. P: Business Associations I -- Agency & Partnership.
