Contract Drafting (3)

This course explores the basics of contract drafting by having students act as lawyers and clients in a hypothetical transaction. Students will research governing law on sales of goods and financing through secured transactions, then negotiate and draft the documents in the transaction. Instead of a final paper, students will draft and edit different types of contract documents such as an Asset Purchase Agreement, a Service Agreement, a Promissory Note, a Security Agreement, and a Financing Statement. Students will learn how to structure and format a contract, write to maximize clarity, and manage conflict as the transaction proceeds.

Students who have taken Prof. Ertmanís one credit course Commercial Law/Secured Transactions: Drafting may not take this course.
