Examination of civil and criminal liability provisions of the federal securities laws, civil and criminal enforcement mechanisms, and dynamics of securities class action litigation. Additional focus on recent legislation including the Private Securities Litigation Reform Act of 1995, the Securities Litigation Uniform Act of 1998, and the Sarbanes-Oxley Act; ethical responsibilities of lawyers and accountants, and the international reach of the federal securities laws. Final examination.
