In this two-credit survey course we are going to explore the inner workings of the venture capital asset class from the lens of corporate counsel and venture capitalist. In doing so, we will attempt to take a look at each step of the venture capital investment cycle from forming a company and venture capital “fund” to selling a startup portfolio company in a merger/acquisition transaction or taking such company public. This cycle will allow us to explore the tremendous intersections of corporate law, securities law, tax law, employee benefits (ERISA) law, contract law, environmental law, intellectual property law, among several others. The goal of this course is to make each student more informed about the venture capital asset class from the lens of deal attorney, which should better prepare each student for a job interview and hopefully a career as a transactional attorney. Perhaps most importantly, this course is supposed to be a fun opportunity to learn about the billion dollar industry creating trillions of dollars in wealth globally.
