This seminar will closely examine several different health care business transactions, including acquisitions, joint ventures and other arrangements with physicians from a corporate, tax and regulatory standpoint with an emphasis on transaction structure, regulatory compliance, and understanding the provisions of the transaction documents. The seminar will also cover legal issues that directly relate to the operations and finances of health care entities outside of the transactional context. This seminar is designed as a very hands on, practical seminar based on actual, sophisticated transactions and business concerns involving healthcare providers. Knowledge gained in the course will help students structure and understand health care transactions from both the health care lawyer’s and the healthcare business executive’s viewpoint. It will also provide instruction in the basics of federal tax exemption applicable to health care providers, reinforce and apply the regulatory knowledge gained in Health Care Law and Policy to specific fact situations, teach some basic corporate drafting skills, and provide a basic understanding of health care economics from the provider perspective.
